KirinBoard

KirinBoard terms of service

These Terms of Service ("Terms") are a binding agreement between you and Kirin Solutions LLC, a California limited liability company ("Kirin Solutions," "we," "us," or "our"). They govern your use of KirinBoard, including its website, dashboard, API, integrations, and connections for AI assistants (collectively, the "Service").

By accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind it to these Terms; in that case, "you" includes that organization.

1. The Service

KirinBoard is a dashboard for software development teams. It connects to GitHub repositories selected by a user or organization and displays information about builds, tests, development activity, project progress, and AI agent activity.

KirinBoard accesses GitHub through a GitHub App using permissions granted by authorized users. It does not request permission to read repository file contents and does not modify repository source files. Some integrations and features may interact with other GitHub resources as expressly described in the Service and their requested permissions.

The Service may include APIs, integrations, reporting tools, and connections to third-party AI assistants. We may modify, add, limit, or discontinue features, subject to any separate written agreement with you.

KirinBoard is independent of GitHub and is not developed, endorsed, or supported by GitHub. GitHub and other marks belong to their respective owners.

2. Accounts and Access

GitHub sign-in. A GitHub account is required. Authentication takes place through GitHub; KirinBoard does not maintain a separate password for your account. You are responsible for securing your account and access credentials. We recommend multi-factor authentication.

Authorization. Anyone installing the KirinBoard GitHub App represents that they are authorized to connect the selected repositories and grant the requested permissions. Workspace administrators control workspace membership and access. You are responsible for activity through the accounts and integrations you authorize, except to the extent attributable to our breach or misconduct.

Eligibility. You must be at least 18 years old to use the Service.

Notices. If we hold your email address, we may use it to send security, account, service, and billing communications. Marketing communications, if any, are governed by our Privacy Policy and applicable law.

Incident reporting. Notify security@kirinboard.ai promptly if you suspect unauthorized access to your account or workspace.

Your use of GitHub and other connected services remains subject to their own terms.

3. Acceptable Use

Use the Service only for lawful purposes and for accounts, workspaces, and repositories you are authorized to access. You must not:

  • Access or try to access another person's account, workspace, repositories, or information without authorization.
  • Circumvent authentication, security measures, access controls, or usage limits.
  • Scrape or systematically extract information using unauthorized automation; use of our documented API within published limits is permitted.
  • Resell, rent, sublicense, or redistribute the Service or access to it without our written permission.
  • Use KirinBoard to evade GitHub's terms, rate limits, or access restrictions.
  • Disrupt the Service, introduce malicious code, or compromise its security or availability.
  • Violate applicable law or another person's rights.

Report suspected vulnerabilities to security@kirinboard.ai rather than exploiting them. We may apply reasonable technical limits or suspend access when necessary to address violations, security threats, or risks to the Service or others.

4. Your Data and Intellectual Property

4.1 Ownership and Limited Permission

You and your licensors retain all rights in your repositories, source code, development information, and other content made available through the Service ("Customer Data"). No ownership of Customer Data transfers to Kirin Solutions.

You grant us a limited, non-exclusive, worldwide, royalty-free permission to access, process, and display Customer Data only as reasonably necessary to provide, maintain, secure, and support the Service and to create Aggregated Statistics as described in Section 4.6. We store only the limited categories of information identified below and in our Privacy Policy.

4.2 Repository Source Files

KirinBoard does not request GitHub's repository Contents permission. The KirinBoard GitHub App therefore cannot access, download, or copy repository source files through GitHub's repository-contents interfaces. We do not clone, replicate, download, or persist copies of your repository source files.

This does not mean KirinBoard never encounters code fragments: GitHub descriptions, comments, check results, and optional pull-request change information may contain snippets of code or other confidential material.

4.3 Information We Access and Store

To operate the Service, KirinBoard may read repository and branch names; issue and pull request titles, descriptions, comments, labels, and reviews; commit messages; workflow, build, and check names, statuses, timing, and results; and relevant AI agent or task information.

KirinBoard does not download or clone your repositories, and never modifies your code. Some features read details of your pull requests, which can include code changes. KirinBoard does not intentionally store those code changes in its databases, files, or backups.

Information retrieved from GitHub, including free text, may be held temporarily while we operate the Service. Such information is not necessarily erased immediately after a request. We do not intentionally save source-code fragments from descriptions, comments, commit messages, or diffs.

We do persist limited operational information such as workspace settings, GitHub identifiers, repository metadata, access permissions, and summarized development and testing metrics. Our Privacy Policy identifies the categories and retention periods. Where operational error text or logs may contain information supplied through the Service, we handle that information under the confidentiality and security obligations below.

4.4 Confidentiality

We treat non-public Customer Data as confidential and use it only to provide, maintain, secure, or support the Service or as expressly permitted for Aggregated Statistics under Section 4.6. We do not disclose it to other customers or unrelated third parties except (a) to personnel and service providers with a legitimate need to handle it under appropriate confidentiality obligations, (b) with your authorization, including through integrations you enable, or (c) when legally required.

We will not use confidential repository content to develop competing products, sell identifiable Customer Data, or disclose proprietary source code to other customers. These obligations do not apply to information that becomes public without our breach, was already lawfully known to us without restriction, was independently developed without using Customer Data, or was lawfully received without a duty of confidentiality. Confidentiality obligations survive termination for as long as the relevant information remains confidential, subject to those exceptions and applicable law.

4.5 AI Models and Connected Assistants

KirinBoard does not use Customer Data to train general-purpose AI models and does not independently submit repository source files or pull-request diffs to AI model providers for training or analysis.

If you choose to connect an external AI assistant through an available integration, it may receive selected dashboard information, including names, titles, statuses, metrics, and relevant file paths. KirinBoard does not intentionally provide repository source files or diffs through that connection. Once information is transferred at your direction, the receiving provider's terms and privacy practices apply. You control the integrations you authorize.

4.6 Aggregated Statistics

We may produce aggregated and de-identified statistical or analytical information about use of the Service, including software development activity, builds, tests, delivery metrics, and AI agent activity ("Aggregated Statistics"). We may use, publish, license, sell, or otherwise commercialize Aggregated Statistics only if they:

  • Are aggregated and de-identified with reasonable safeguards designed to prevent identification of users, customers, organizations, and repositories;
  • Do not disclose source code, diffs, comments, issue descriptions, confidential repository content, or identifiable proprietary development activity; and
  • Are subject to appropriate safeguards against re-identification, including restrictions on recipients where applicable.

We do not sell or rent identifiable Customer Data or personal information. We own the Aggregated Statistics we create, without acquiring ownership of underlying Customer Data. Rights in previously created, properly aggregated and de-identified statistics survive termination. Nothing in this section limits privacy rights under applicable law.

4.7 Security

We maintain commercially reasonable technical and organizational safeguards designed to protect Customer Data against unauthorized access, use, alteration, disclosure, or loss. No online service can guarantee absolute security. We will investigate and address security incidents as appropriate and notify affected parties as required by applicable law.

4.8 Permission Changes

We will notify affected users or administrators before requesting additional GitHub permissions that materially expand what KirinBoard can access. In particular, we will not request repository Contents permission without first informing you and obtaining the required GitHub authorization. You may decline additional permissions, though some functionality may then be unavailable.

5. Plans, Pricing, and Payment

KirinBoard offers the following plans, subject to eligibility and features described in the Service:

  • Individual: Free for one person.
  • Open Source: Free for eligible public repositories with a license recognized by GitHub; these repositories do not count toward private-repository plan limits.
  • Team: Intended for two or more people working with private repositories, priced per member at the rate displayed before purchase.
  • Enterprise: Additional capabilities, potentially including single sign-on, self-hosting, invoicing, support, and separate contractual terms.

AI agents are not counted as members for plan billing purposes.

Until we start billing, every plan is free. We will give you at least 30 days' notice before any charge begins, and nothing is charged unless you then choose a paid plan.

If a workspace exceeds its plan limits, we may restrict additional members' access until capacity becomes available or its plan is upgraded. We will not delete workspace data solely because a workspace exceeds its membership limit.

Before a paid subscription begins, we will disclose its price, billing frequency, renewal terms, and applicable cancellation and refund conditions and obtain the authorization required by law. Paid subscriptions renew according to the terms presented at purchase until canceled. You can cancel through the method described in the subscription checkout or account billing interface, or any other method required by applicable law. Cancellation stops future renewals, while access ordinarily continues until the end of the paid billing period unless disclosed otherwise or required by law. Except where required by law or expressly promised at purchase, prepaid fees are non-refundable.

Any separate Enterprise agreement governs billing where its terms differ.

6. Availability and Changes to the Service

We aim to provide a dependable Service, but unless we expressly agree otherwise in writing, we do not guarantee uninterrupted availability, particular response times, error-free operation, or the continued availability of particular features.

We may interrupt the Service for maintenance, upgrades, emergencies, or security reasons, sometimes without notice. We may change, limit, or discontinue features as the Service develops. Where practicable, we will provide reasonable advance notice of changes that materially reduce paid functionality. Any specific service-level commitments must be set out in a separate written agreement.

KirinBoard depends on GitHub, the platform you connect, and on other third-party services. Their outages, API restrictions, rate limits, or changes may cause interruptions or stale data. Where feasible, the Service may display the age of previously retrieved information.

7. Third-Party Services

KirinBoard relies on the platform you connect and on service providers for hosting, network security and delivery. We are not responsible for failures caused by independent third parties outside our reasonable control, but this does not excuse our own obligations under these Terms or applicable law.

Integrations that you authorize may be governed by additional terms with the applicable provider. We may change service providers as reasonably necessary to operate and secure the Service, subject to our Privacy Policy and legal obligations.

8. Suspension, Termination, and Deletion

Your choices. You may stop using KirinBoard at any time. You can revoke the GitHub App's authorization by uninstalling it or changing permissions through GitHub. You may request account or workspace deletion at support@kirinboard.ai. Cancel any paid subscription separately so that future renewals stop, unless an applicable cancellation method combines both actions.

Deletion. Following a deletion request or removal of an installation, we will delete or de-identify related information according to the retention schedules and lawful exceptions in our Privacy Policy. Some records may remain temporarily in backups or security records, or as required for legal, accounting, dispute resolution, or security purposes. Previously created qualifying Aggregated Statistics may remain.

Our rights. We may suspend or terminate access for material breach, security risk, unlawful use, or discontinuation of the Service. Where reasonably practicable, we will provide notice and an opportunity to cure, unless immediate action is necessary.

Survival. Sections on confidentiality, intellectual property, Aggregated Statistics, accrued payment obligations, disclaimers, limitations of liability, indemnification, disputes, and provisions that by their nature should survive remain effective after termination.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.

KirinBoard displays information derived from GitHub, connected systems, and users or AI agents. Build and test results, delivery metrics, agent states, and other figures may be incomplete, outdated, inaccurate, or unavailable. GitHub and the relevant underlying tools remain the authoritative records. Verify material information before relying on it for technical, operational, financial, or business decisions. We do not warrant that the Service will detect all defects, security risks, development conflicts, or incorrect AI agent activity.

Nothing here excludes rights or obligations that cannot lawfully be excluded.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIRIN SOLUTIONS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIRIN SOLUTIONS LLC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limitations apply to claims in contract, tort (including negligence), statute, or any other theory, even if we were advised of potential damages. They do not limit liability that cannot legally be limited. A separately signed Enterprise agreement may establish different limits.

11. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Kirin Solutions LLC and its members, managers, officers, employees, contractors, and agents against third-party claims, liabilities, damages, judgments, and reasonable legal expenses arising from your material breach of these Terms, unauthorized connection of repositories or data, infringement claims involving Customer Data you supply or authorize, or unlawful use of the Service.

This obligation does not require you to indemnify us for our own negligence, misconduct, or breach. We will provide reasonably prompt notice, permit you to control the defense with qualified counsel, and reasonably cooperate at your expense. You may not settle on terms that impose obligations on us, admit wrongdoing on our behalf, or omit an appropriate release without our written consent, not to be unreasonably withheld.

12. Governing Law

These Terms and disputes relating to them or the Service are governed by California law, without regard to conflict-of-law principles, except where mandatory law provides otherwise. Subject to Section 13, legal proceedings must be brought in state or federal courts in California, and the parties consent to those courts' jurisdiction.

The Service is operated from the United States; we do not represent that it is appropriate or available in every jurisdiction. You are responsible for laws applicable to your use.

13. Dispute Resolution

Informal resolution. Before beginning arbitration or litigation, send a description of your dispute and requested relief to legal@kirinboard.ai. Both parties will attempt in good faith to resolve it for 30 days after receipt.

Arbitration. Except for eligible small-claims matters, qualifying emergency injunctive relief, or disputes that cannot legally be arbitrated, disputes arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, including mandatory consumer protections where required. Unless the parties agree otherwise or applicable law requires it, proceedings will occur in California or remotely where permitted. Fees will be allocated under applicable AAA rules and law. The arbitrator may grant relief available under applicable law, subject to lawful contractual limits.

Class action waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND KIRIN SOLUTIONS AGREE TO PROCEED ONLY ON AN INDIVIDUAL BASIS AND WAIVE PARTICIPATION IN CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDINGS.

Injunctive relief. Either party may seek temporary or preliminary court relief to protect confidential information, intellectual property, or security rights pending arbitration where appropriate.

14. No Personal Liability

The Service is provided by Kirin Solutions LLC as a separate legal entity. To the maximum extent permitted by law, contractual claims concerning the Service or these Terms must be brought against Kirin Solutions LLC rather than its members, managers, officers, employees, contractors, or agents personally. This does not exclude individual liability imposed by law for a person's own conduct.

15. Changes to These Terms

We may update these Terms to reflect changes in the Service, our practices, or legal requirements. We will identify each version and effective date, and provide reasonable notice of material changes through the Service, email, or other appropriate means. Where required by law, or where material changes require renewed agreement, we will ask you to accept the updated Terms before continued use. If you do not agree, stop using the Service and cancel any subscription as appropriate.

16. General

Entire agreement. These Terms, the Privacy Policy, and applicable subscription terms govern your use of the Service unless a separate signed agreement applies. Where a signed Enterprise agreement conflicts, that agreement controls to the extent of the conflict.

Severability. If a provision is unenforceable, the remainder continues in effect except as required by law.

No waiver. A failure to enforce a provision is not a waiver of later enforcement.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of relevant business assets, subject to law.

Force majeure. Neither party is responsible for delays caused by circumstances beyond its reasonable control, except obligations that cannot lawfully be excused.

Relationship. These Terms do not establish a partnership, joint venture, agency, employment, or fiduciary relationship.

Notices. We may notify you through the Service or your account email address. Send legal notices to legal@kirinboard.ai.
